This post is great for Startmate, but don't ignore the headline: "9 out of 10 times VC loses money". This is a truth a lot of startup founders just don't get... when you take VC, you think you've made it... but *most of the time* a VC writes a check it goes sideways. Getting VC is NOT a magnificent milestone... it's the start of a very risky journey. Think about that: your investor comes to your board meeting... and 8 or 9 out of every 10 board meetings they go to they know "this company ain't gonna make it". I'm not against VC's and I had a terrific VC in my company, but I don't think enough founders *understand* the realities of venture capital, *particularly* in Australia, where the whole ecosystem is quite immature and a long way behind the US. #VentureCapital #fundraising #VC #startups #founders

Private companies often talk about valuation when announcing a fundraise. You've seen the headline: "Company ABC raises $100 million at a $1 billion valuation." Companies don't have to disclose these metrics, but reporters are more keen to write about them when numbers are involved. If you have ever worked for a private company, you have probably also heard the term fair market value (abbreviated to "FMV"). Companies use FMV to set the strike price of their stock options. FMV is also never the same as the headline values you read about. Here's why. Investors tend to invest in preferred shares. "Preferred" means they get their money back first if things don't work out, but it doesn't mean their investment is risk-free. In the above example, if the company is ultimately worth $0, the investor loses their money. If the company is worth between $100 million and $1 billion, the investor gets their $100 million back. Anything above $1 billion and they make money on their investment. On the other hand, employee stock options have to be granted at "fair market value" (there's that term again) in order for them not to be taxable to the employee. If a company gives you an option to buy a share, with a strike price of $20 when shares have a value of $50, you have a built-in gain of $30. In certain jurisdictions like the US, you need to pay tax on that gain, even if you haven't had the chance to exercise the option, sell the share, and get the cash. In order to avoid this situation, private companies get external advisory firms to provide an FMV calculation. The FMV calculation is in-depth, detailed, and complex. But importantly it is almost always discounted to the investor valuation for two reasons: The first is that stock options give employees the right to acquire a common share. Because a common share doesn't have the same "preferred" position as a preferred share, there is the "common" discount. The second reason is the employee shares are illiquid, meaning employees aren't free to sell them, like they would be in a public company, hence the "illiquidity" discount. Taken together, it means a company with a headline valuation from investors of $1 billion may have an FMV of $500 million (it could be higher or lower, this is just meant to be illustrative). This can be a great thing for employees at private companies. Because while investors need the company to be worth more than $1 billion to start making money, employee options will be "in the money" starting at only $500 million.

Why GP Carry Economics for Syndicates are Superior to Venture Funds Sharing #2 of 5 learnings Zachary Ginsburg posted via Last Money In Media yesterday on reflecting back after 500 SPVs completed. 500 SPVs is not a typo :) – “The carry economics are arguably far superior for Syndicate GPs than the carry economics for fund GPs. We previously put out an article discussing the economics of venture, and the reality is that while venture can be the best performing major asset class the returns are skewed to the top funds with the average fund barely returning 1x capital back. There is no major asset class that has dispersion of returns quite as high as venture capital. This underscores the benefits for Syndicate GPs. For one, it means the time to actually receive carry income can be extremely quickly. Despite starting Calm Ventures in 2020, we had one nice exit in 2021 (~10x outcome in 12 months). While the returns from that investment were only ~10% of the capital deployed to that point, we still received carry (over a half million dollars). In a traditional fund if you returned only ~10% of capital back, you would not be seeing a dollar in carry from that sale. To further underscore the GP benefit, as mentioned, around half of funds return <1x DPI. Meaning half of GPs aren’t seeing a dollar in carry from their funds. You can have a <1x fund in SPVs and still receive an enormous amount of carry distributions. To take the extreme case, let’s say we invest $1M each into 100 investments via SPVs over the course of 3 years - so $100M invested total. 99 of those investments go to zero and one 100x’s or returns $100M. While LPs in aggregate didn’t make any money (we received $100M in distributions and invested $100M), the GP actually makes almost $20M dollars (20% carry x $99M in returns on the single performing investment). Board Meetings for Seed / A companies should be open discussions on ideas and strategy 🗣️ All investors should have read the Board Pack in advance (and it should be sent 48 hours+ in advance). Specific governance / finance questions can be asked in an email chain or WA group beforehand. When the Board starts, nail any votes required in first 5 mins. Core focus of Board should = 2-3 key things that the Founders want to have a deep dialogue on, where the other members can be the sounding board. "This is our idea around our new marketing campaign. These are our channels." "We've narrowed down these three candidates for x role." "Here is prototype for our new product feature launching next month." "Here's the template for our Sales playbook for moving up market." "We a/b tested these two acquisition channels and have some preliminary data." No need to spend half the Board meeting talking about financials, the Board Pack will show if you've overspent, the reasons why and can be discussed async beforehand.

How Dovetail grew to a $970M (Australian) valuation in 5 years—and created a new SaaS category: I chatted with 4 members of their team, and 4 UXR leaders, to learn the details. 1. Product-led growth, design-led company Dovetail's business model is decidedly product-led growth. The company relies on the product, and inherently viral features like research reports, to acquire, convert, monetize, and retain users. But design-led is its culture. CEO and co-founder Benjamin Humphrey has been in the details of the design since its beginning. And the product "feels" like it as a result. 2. Creating a hub for a neglected persona Rewind to 2016. While engineers had JIRA, Designers had Sketch, PMs had Google Docs, and analysts had Tableau, User Researchers had... nothing? Their workflow was a mess of hopping between different software. Ben had lived it as a product designer at Atlassian. There was a plethora of software focused on how to build, but there was almost nothing about what to build. So, after proving out the idea with an MVP, he recruited his Atlassian Engineer friend, Bradley Ayers, to join him. 3. Mastering the PLG motion Dovetail excels in all layers of PLG: → Acquisition: they don't use any outbound sales, focusing on product acquisition → Core problem communication: the home page emphasizes improving how you make product decisions → Reduced friction: its onboarding is focused on a standard walkthrough, but it is 10 steps → Activation: Dovetail has an intuitive product, examples, and templates to take you from setup to habit → Retention: as a system of record, the product gets stickier as more (qualitative) data is put in it → Monetization: the free plan has unlimited functionality, but only 1 project → Expansion: it has a natural growth of free users, who eventually become editors 4. Creating powerful, reinforcing growth loops Dovetail 2 two core loops: • More paid seats helps them build a better product, which helps UXRs succeed, which drives more UXRs and paid seats                                 • UXRs succeed, driving collaborators to join, which go from free to paid seats As well as 2 ancillary loops: • The more paid seats, the more it can invest in inbound sales • The more free seats, the more expansion products like Channels (to analyze customer support data) it can build 5. Building towards a category of one While there are competitors in the research insights space, Dovetail is building out its own category. It's not quite transcription. It's not quite a hub for research. It's that and more. This has helped it create its own, new category in SaaS. As Benjamin, still the CEO, told me: "We're building a system of record for all insights... It's a friggin' long, 20-year journey. You need to be a little nuts to have that level of ambition. "

🔮 Why funds under $30m should have NO reserve strategy: Reserve strategies are one of the most important variables for a GP, but it's usually the least considered Whilst GPs model using follow-on funding to invest in top performing companies, access is difficult with low ownership It's tough out there. Big VCs can be dominant in later stage rounds and are known to prevent the use of pro ratas I'm a yes to little/no reserve strategies for micro VCs. Many Aussie/Kiwi founders eventually face the decision of: what market should I go to next? Often, the answer they land on is the US. The key decision points then become: 1) when should I enter the US? 2) how should I break in? 🔥 Unpopular Opinion: Australia's Fractured Fintech Ecosystem As a Fintech founder or community member to go to all the major events this month you're looking at circa $1K minimum, even more if you're not a startup founder. 💰 Now it's not a HUGE amount of money but that's just June, there's multiple events throughout the year. 🤝 Now all of these events are great opportunities for networks to grow, deals to be done and partnerships to be formed and should be attended. They're organised by passionate and great people. 🤗 But there's lots of talk about Fintech struggles of late and how as a community we can band together and help increase funding, talent and growth of Fintech in Australia. 🤯 We have multiple communities, awards, summits (including a new one last week), newsletters, memberships and then there's other communities for cyber, regtech, proptech, insurtech, crypto and on and on and on the list goes. 👊 And I'm not naive as to how we got to where we are, and I'm certainly not diluting the value each community or event brings, we all love a good backslapping. It's just appears to be overly complex for our size of market. So it beggars the question, do we need micro communities, with different audiences, agendas, voices? In the latest episode of Future Squared podcast, I spoke with Australian and former Head of Product at UBER’s Developer Platform, Chris Saad. Chris noted that: 1) despite the larger pool of VC dry powder in Australia, capital is actually scarce and controlled by a few big players 2) Aussie investors are risk averse and typically looking for ‘derisked’ B2B opportunities, as they are often investing on behalf of large conservative super funds 3) Aussie investors are, for the most part, unsophisticated when it comes to investing in high-growth venture scale returns companies, something Canva’s Cliff Obrecht echoed when talking about the company’s prospective NASDAQ listing in 2026 We’ve no doubt come a long way since the noughties, when there wasn't much of a startup or VC landscape to speak of... but are we still, in Chris’ words, “about twenty years behind”? Is the gap between Australia and the US getting smaller or bigger? What do you think?

The conventional wisdom was that venture capital and bootstrapping are mutually exclusive. How much equity should your company carve out for your people? Equity benchmarking data is notoriously difficult to get, especially for Australian startups, but we take a lot of influence from our US cousins. Carta has showed up with the goods and shared two key pieces of insight on startup equity. 1️⃣ ESOP pool size by stage of company 2️⃣ Pool size change over the last 2 years What are they seeing in 2024? 🌱 Seed companies • 21.8% (75th %ile) • 14.2% (50th %ile) • 10.1% (25th %ile) 🪴 Series A companies • 20.6% (75th %ile) • 15.3% (50th %ile) • 11.1% (25th %ile) 🌿 Series B companies • 21.2% (75th %ile) • 16.8% (50th %ile) • 13.0% (25th %ile) 🌲 Series C companies • 21.8% (75th %ile) • 17.7% (50th %ile) • 14.7% (25th %ile) How has this changed since 2022? Not a lot really. The median has stayed fairly stagnant, with a 1-1.5% variance, meaning total cap table has stayed largely unchanged for the average company. Top quartile Seed startups got way more generous in 2024, jumping from 19.8% of total cap table in 2022 to 21.8% in 2024 📈 Are early/riskier startups having work harder (issue more equity) to lure away talent from secure seeming companies? This trend reverses for more mature companies and the top quartile at Series C dropped from 22.9% of total cap table in 2021 to 21.8% 📉 Maybe this suggests they can get away with outlaying less equity because talent isn't going anywhere.
