Exxaro Resources Limited is among the top five coal producers in South Africa. Since 2006, Exxaro has become one of South Africa's largest and foremost black-empowered and diversified mining companies. The group is among the top 30 in the FTSE/JSE Socially Responsible Investment Index. Exxaro is also proud to embrace the principles of the Task Force on Climate-related Financial Disclosures (TCFD). Based on our position as a major coal supplier in South Africa, we understand the importance of being carbon-neutral and finally net zero carbon. Therefore, we have started incorporating renewable energy solutions into our existing portfolio to reach this milestone by 2050. To this end, Exxaro is pleased to announce the acquisition from Khopoli Investments Limited (Khopoli), wholly owned by Tata Power Company Limited (Tata), of Khopoli's 50% interest in Cennergi Proprietary Limited (Cennergi) for a cash consideration of R1 739 million (including price adjustments). Our diversified asset portfolio comprises interests in renewable energy (wind) and thermal and metallurgical coal, and equity-accounted investments in iron ore, zinc and residual pigment manufacturing. Exxaro also has business interests globally in Europe (comprising a marketing and logistics office in Switzerland), the United States of America (USA) (through Tronox Holdings plc) which we disposed of in February 2021 and Australia (comprising a joint venture with Anglo Coal (Grosvenor Proprietary Limited) in the Moranbah coal mine).

    On Saturday, we officially handed over Phase 1 of a modern multi-purpose Sheep Shearing and Hydroponics Facility in EliXeni Village, Cofimvaba. The R36 million investment brings together traditional farming and modern agricultural technology to create sustainable economic opportunities in three villages: EliXeni, eThunzini and Ezingxiweni. The Eastern Cape is part of our broader labour-sending footprint, comprising communities that play an important role in supplying skills, talent and people to the mining industry. While these communities may not host our mining operations, they are a significant part of the social and economic ecosystem that supports our business. Through Exxaro Matla Mine’s Social and Labour Plan (SLP), the Crosby Moni Agricultural Centre, named after Matla Mine’s late trailblazing employee who hailed from Cofimvaba. This facility demonstrates our commitment to ensuring the benefits of mining extend beyond our mining operations. It is designed to support local sheep farmers and hydroponics beneficiaries, while creating opportunities for employment, sustainable income generation and local food production. The scale of the opportunity: • The shearing facility is equipped to process up to 500 sheep per day during the annual shearing season • The anticipated wool output is approximately 22 418 kg per year • The two hydroponics tunnels have an expected annual production capacity of approximately 90 000 heads of lettuce and spinach. • During the first phase, 74 people benefited from employment opportunities created through the project. The initiative also highlights the value of partnerships between government, communities and the private sector in turning investment into productive assets that can support livelihoods long after project completion. As we mark 20 years since its listing on the JSE, the Cofimvaba facility is a meaningful reflection of what Impact Beyond the Surface means: recognising that sustainable value creation extends beyond our mines to the communities connected to our people, our operations and our broader social and economic footprint.   • Today, we celebrate Women's day by taking a moment to remember and reflect on the over 20 0000 women who marched to the Union Buildings in 1956 against injustice and inequality, and in the hope of a more inclusive South Africa. We also use this day as an opportunity to recognise the courage, leadership, innovation and determination of the women of Exxaro - across all levels, whose contributions continue to power possibility every day. Over the past two decades, women have played a vital role in transforming our organisation and industry. From driving operational excellence and innovation to leading teams, supporting communities and creating opportunities for future generations, their impact extends far beyond the surface. Our commitment to empowering women continues to be reflected in meaningful progress in our organisation :  Women hold 47.8% of middle management positions and 37.9% of senior management positions.  52% of our engineering and mining bursars are black women, helping shape the next generation of mining professionals.  The number of black women sponsored at TVET colleges increased from 20 in 2024 to 51 in 2025. Beyond our business, we continue to support women as catalysts for growth and sustainable development:  19% of procurement spend was directed to black women-owned businesses, exceeding our target of 15%.  Women represented 54% of farmers supported through our Mine Sustainability Programme, helping create sustainable livelihoods beyond mining. As we celebrate this important day, we honour the resilience, personhood and leadership of every woman who continues to strengthen Exxaro’s journey and contribute to a more inclusive and sustainable future.   • For 36 years, every shift at our Leeuwpan mine ended with the most important outcome of all: people returning home to their families, safely. This past Friday, colleagues, business partners, organised labour, government representatives and leaders gathered to celebrate an extraordinary milestone: 36 years fatality-free, during Leeuwpan Mine’s Safety Indaba. The day began with a moment of silence in honour of those who have lost their lives across the mining industry, serving as a necessary reminder that while milestones deserve celebration, every life is precious and safety can never be taken for granted. Throughout the programme, speakers reflected on the journey that made this achievement possible and the responsibility of sustaining it for generations to come. Leeuwpan's General Manager Ronald Teffo recognised the everyday commitment of employees, contractors and business partners whose daily decisions, disciplined behaviours and care for one another have shaped Leeuwpan’s remarkable safety record. He reminded attendees that safety is not defined by milestones alone, but by the choices made every day to identify risks, apply critical controls and look out for one another. Neo Monareng, Executive Head: Sustainability, shared how Exxaro’s One Voice Safety Strategy is creating a consistent approach to safety leadership, behaviours and standards across every operation. A keynote address by Oswald Ntatabikwa, a survivor of a major safety incident that altered his life forever, reinforced that achieving safety excellence requires courageous leadership, continuous learning and the confidence to intervene whenever unsafe conditions arise. The celebration recognised additional milestones, including 365 Lost Time Injury (LTI) free days, further evidence that safety is embedded in the way Leeuwpan works every day. While 36 years fatality-free is an achievement worth celebrating, it is also a commitment to the future.     Belfast Mine Strengthens Community Partnerships Through Mandela Month Social Impact Initiative In closing off Mandela Month, Exxaro's Belfast Mine, through its Social Impact portfolio and supported by the Emakhazeni Local Municipality, joined hands with business partners Dust Aside, Modi Mining, Ilusha, Enaex, and Mabhinqa Trading and Projects to give back to the Vera Stimulation Centre in Belfast. The initiative also brought together the mine's Women in Mining (WIM) team and people living with disabilities in a shared commitment to uplifting the local community. The team handed over nutritious groceries, sanitary towels, and also carried out improvement projects at the centre, which including painting, gardening, grass cutting and general cleaning. The initiative responded to some of the centre's immediate needs while demonstrating the positive social impact that can be achieved through collaboration between business, government and the community. Established in 2000, the Vera Stimulation Centre provides care, support and developmental services to 10 beneficiaries, aged between 4 and 21 years, living with various neurodivergent conditions and physical disabilities. Managed by Mr Ngomane, the centre is supported by the Department of Social Development and Belfast Correctional Services. As we conclude Mandela Month, we continue celebrating the young changemakers who are proving that with the right support, bold ideas can become powerful catalysts for inclusive growth. We are proud to put a spotlight on Matimba Nkuna, founder of BantuByte and Timbuk2 AI. He was born and raised in Mkhuhlu, near Bushbuckridge in Mpumalanga and is currently based in Cape Town. When he started his business, Matimba set out to solve a challenge that many overlook: the thousands of informal and township businesses that remain invisible in the data used to inform investment and economic decisions. His start-up, Timbuk2, is helping township communities by creating a digital map of informal and small businesses that are often invisible to platforms like Google Maps. Using a mobile platform, local youth are paid to collect information about businesses such as spaza shops, salons and car washes by taking photos and recording details. This data helps businesses become more visible to customers, suppliers, investors and government planners, while also creating income opportunities for township residents. The business strives to use technology and community participation to make township businesses easier to find, better understood, and more connected to economic opportunities. Through our Enterprise Supplier Development (ESD) programme, Matimba received the support needed to strengthen his business, invest in innovation and scale Timbuk2 AI into a technology platform attracting interest beyond South Africa’s borders. Today, his work is creating opportunities for young technical talent, generating community-driven employment and enabling smarter, more inclusive economic decision-making. As we continue to reflect on 20 years of impact beyond the surface, stories like Matimba’s remind us that empowering entrepreneurs is about far more than supporting businesses.
