Letter of Offer

Dear Mr. Prashant

Concerning the recruitment meetings and/or telephonic discussions with you, we are pleased to offer you
employment in our company (Casa2 Stays Private Limited) as per the following terms:

• Date of Joining: 19th-May-2025

• Designation: Senior Manager-Enterprise Sales

• Fixed Salary: INR 24,00,000 /- per annum.

• Place of Posting: Gurgaon

You are requested to provide your acceptance of this offer within 48 hours. In case there is no confirmation
from your end or even after confirmation, you fail to report on the specified date, this letter of offer shall
immediately be terminated suo-moto.

Annexure I: Documents to be submitted

Please mail the following details within a week of receiving the offer letter to the HR department:

a) Accepted copy of your resignation letter from your current employer


b) A scanned passport-size photograph
c) Copy of Aadhar and PAN card
d) One bank account no and your name as in the account along with a cancelled cheque

On your date of joining, you are requested to submit a set of photocopies of the following documents:

a) Proof of date of birth, proof of address, and all educational certificates as well as mark sheets
of your graduation and post-graduation (as applicable)
b) Experience Certificates from last employer and all previous employers, relieving certificate or
no dues certificate from the last employer
c) Certificate/proof of the last salary drawn along with a copy of Form 16
d) Four passport-size photographs of yourself

Company reserves the right to conduct any reference checks, background verifications and documents
validation pertaining to any information you have disclosed or declared as your candidature and any deviation
around the authenticity, to the best judgement of the human resource team or any individual or agency
deputed for the same. You agree to cooperate in all such verifications as and when deemed fit, before or after
your service commencement with the company. In case of any negative background verification (for respective
information) this offer and subsequent employment contract will be deemed null and void.

Annexure II: Key Employment Terms

ANNUAL COMPENSATION

Your annual compensation on a cost-to-company (CTC) basis is detailed in the annexure. Your
emoluments will be subject to various statutory deductions applicable under provisions of law/acts
and any revisions therein from time to time. (e.g., Income tax, Fringe Benefits Tax, Professional Tax,
ESI, PF, etc.).

DATE OF JOINING

Your date of joining is 19th-May-2025


PROBATION / CONFIRMATION

The Employee will be on probation for the period of 3 months starting from the commencement of
this Agreement. After the expiry of the probation period, Employee’s job confirmation will be solely
decided by the Company depending on his job performance, code of conduct and other parameters
that the Company deems fit. During the probation period, the Company may at any time end the
employment immediately for the reason of non- performance or violation of any of the terms
mentioned in the Employment Contract. However, if the employee wants to end the Employment
Contract during the probation period, a prior notice of minimum 15 days should be given in writing to
the Company. If your probation period is extended under any circumstances, the same will be
communicated to you in writing.

Notice Period

a) After completing the probation period, the employment Agreement may be terminated by employee
by following proper resignation process and upon serving One month of notice. The Company reserves
the right to terminate your employment with a notice of One month or by paying proportionate gross
salary (excluding variable) in lieu of any short notice. This, in no way, limits the Company’s right to
terminate your employment without notice in the event of serious misconduct which includes,
committing a criminal offense, theft, fraud, embezzlement,

b) Intoxication, violence, sexual harassment, damage to the Company’s reputation, etc. The Company
also reserves the right to terminate your employment without cause, with a notice of One month(s) or
by paying proportionate gross salary (excluding variable) in lieu of any short notice.

Notwithstanding the above, during the period of your probation or after your confirmation, in case,
you breach any of the clauses of this offer or you are found to have committed an act of misconduct,
your services shall be terminated with immediate effect. In such an event, it would not be necessary
for the company to give you any notice whatsoever.

REVIEW

The Company’s policy is to review salaries on an annual basis. The same is based on the performance
of the Employee and the sole discretion of the Company.
CONFIDENTIALITY OF REMUNERATION

It is a condition of your service to ensure that you observe the organization’s policy of maintaining the
strictest confidentiality for the remuneration received by you at all times.

DUTIES, RESPONSIBILITIES AND TRAININGS AS SERVICE CONDITION

The Department Head or assigned reporting manager will explain your duties/responsibilities to you in
detail at the time of joining or whenever convenient thereafter. Needless to mention, you shall carry out
your duties sincerely and diligently.

You are also required to participate in mandatory training programs crucial for Information & Data
Security, CRM, and other relevant skill training based on your role within the Company. This includes
fulfilling attendance and successful completion requirements or certification if necessary for your role. By
signing this offer letter, you acknowledge and agree to comply with the aforementioned training
requirements as applicable or introduced from time to time.

HOURS OF WORK/ SERVICE CONDITIONS

Your hours of work and other service conditions will be explained to you in the office upon your joining.
Other administration and personnel rules and procedures are announced and may be revised from
time to time as deemed appropriate by the company’s management. It will be your responsibility to
fully acquaint yourself with these rules and conditions.

TRANSFERABILITY

Your current place of posting is Gurgaon. However, your services are transferable at the discretion of
the Management, to any other section/department/ establishment or any of our subsidiary/associate
companies or offices in India. On being relocated, subject to the discretion of the Company, you will be
granted sufficient time for the purpose. However, please note that should you fail to report at the
location assigned; it shall be presumed that you have voluntarily abandoned our services.

As a member of an organization, that practices flexibility and continuous improvement in work


processes, your duties may be varied from time to time to enhance performance growth. Your
employment will be subject to the company’s established orders/standing orders as issued from time
to time, as far as they may apply to you.

CONFIDENTIALITY OF INFORMATION

You shall observe utmost confidentiality and secrecy of all information received by you or entrusted to
you in the course of your employment. You shall at all times, whether during or after the termination
of your employment, act with the utmost fidelity and not disclose or divulge such information to a third
party or make use of such information for your benefit.

Upon termination of your employment, you will immediately surrender to the Company, all files,
books, magazines, reports, documents, manuals, audio and video tapes, floppies and discs, and any
other knowledge databases entrusted to you in the course of your employment.
You will not reproduce, store in a retrieval system, or transmitted in any form or by any means –
electronic, mechanical, photocopying, recording, scanning, or otherwise – any copyrighted material
that is the property of the Company – for your benefit or the benefit of any third party – during your
employment or on your separation.

In case of any breach, your employment shall instantly be terminated and the Company would initiate
appropriate legal recourse.

EXCLUSIVITY

You will wholeheartedly promote and expand the business of the Company. You will not either directly
or indirectly engage yourself, either full-time or part-time, elsewhere in any job, profession, or business
of any nature. Further, you shall not be a sleeping partner in any partnership firm doing similar business
activities. In addition, you shall not be a director in any body corporate engaged in similar business
activity.

You will not in any way support any business entity undertaking a similar business activity, in the same
line of business, in the same trade, competing with the Company in any manner whatsoever. In case any
of your dependents or your blood relatives engage in a similar line of business, support any business
entity undertaking a similar business activity, in the same line of business, in the same trade, competing
with the Company in any manner whatsoever then you shall automatically be liable to be disqualified
from continuing your employment with the Company.

To prevent the Company information of any nature whatsoever including processes and designs, and
business practices from becoming available to our business competitors; the terms of this offer require
you to abstain from engaging yourself in any capacity, either directly or indirectly, in

any concern or with any employer in India engaged in or proposing to engage in the business activity
similar to our Company, within 12 months from the date of cessation of your employment with our
Company.

Further, during this period of 12 months, you shall not in any way whatsoever approach or solicit any
business either for yourself or for an entity from the same business customers whom the Company
has been doing business and negotiating during your employment tenure with the Company.

INDEMNIFICATION

You agree to indemnify and hold the Company harmless from all losses, liabilities, claims, and damages
(including reasonable legal fees) that may arise out of or because of any unauthorized act by you or any
act caused by you being in contravention of this Agreement.
STATUTORY BENEFITS

As per statutes, the company provides benefits of Employees' State Insurance, Employees' Provident
Fund, and Bonus, Gratuity, Maternity Benefit, and Workmen’s Compensation (in case of
accident/death in the course of employment) to eligible employees.

MEDICAL FITNESS

In case of prolonged/ frequent illness, the company has the right to get you medically examined by a
Certified Medical Practitioner during the period of your service. In the eventuality of your being found
medically unfit to continue with the job, the company reserves the right to terminate your services.

VALIDITY

1. This Agreement supersedes all previous letters of engagement, agreements, and


arrangements whether oral or in writing relating to the subject matter hereof between the
Company and yourself, all of which shall be deemed to have been terminated by mutual
consent.

2. This Agreement includes its Annexures/Schedule(s). The various provisions and sub-provisions
of this Agreement are severable and if any provision, sub-provision, or identifiable part thereof
is held to be invalid or unenforceable by any court of competent jurisdiction then such
invalidity or unenforceability will not affect the validity or enforceability of the remaining
provisions or sub- provisions or identifiable parts thereof in this Agreement.

3. Please note that this offer is based on your having furnished to the Company correct
information regarding your past service/s and other records as requested by the Company. If
at any time it is revealed that the employment has been obtained by furnishing false
information or by withholding pertinent information, the Company shall be at liberty to
terminate your services at any time without any notice or compensation thereof.

4. This Agreement is governed by and construed by Indian laws, and you and the Company submit
to the exclusive jurisdiction of courts located in New Delhi.

GENERAL

1. In respect of matters such as leave facilities and other benefits etc. not herein specified, you
would be governed by such rules of the company as may apply to you as per your rank.

2. You will act within the framework of organization structure and policies and directions laid
down by the company from time to time.
3. The Company’s personnel are whole-time employees and are not to undertake any other
business, work, or public office, on payment or without payment except with written
permission from the Company.

4. You will not indulge in any political activities, or be part of any political body or entity having
political affiliation. This may lead to an action, which may not be restricted to the termination
of this employment contract.

5. You shall not indulge in any cash/stock transaction done with Hotel Owner/middle agent. If
found guilty legal actions will be taken.

6. In case you are part of the “Field Sales Force”, you would be required to furnish a NOC from
the Hotel Owners and any other customers with whom the Company has an outstanding in
your territory and clear all pending financial matters as advised by the Company during your
tenure, before the settlement of your account in the case of resignation/dismissal.

7. If at any time in our opinion, which is final in this matter you are found to be a non-performer,
dishonest, guilty of fraud, disobedience, disorderly behavior, negligence, indiscipline, absence
from duty without permission, or any other conduct considered by us deterrent to our interest
or of violation of one or more terms of this letter, your services may be terminated without
notice and on account of the reason of any of the acts or omission, the company shall be
entitled to recover the damages from you.
8. You will not accept any present, commission, or any sort of gratification in cash or kind from
any person, party or firm, or Company dealing with the company and if you are offered any, you
should immediately report the same to the Management.

9. You will automatically retire on your attaining the age of superannuation, which is 58 years in
the case of employees of your category.

10. Before leaving the company, you will have to clear all pending issues/ outstanding matters.

11. All disputes arising out of this letter will be subject to the jurisdiction of the New Delhi Courts.
And that the courts, tribunals, and/or authorities at New Delhi only shall have jurisdiction to
entertain, try and decide such disputes or differences arising out of or about this contract of
employment, irrespective of your working HQ being elsewhere at that time.

12. You will execute and perform all duties as may be entrusted to you from time to time, in the
above capacity or any other capacity, to the best of your ability and conduct yourself faithfully
and conscientiously.

13. You may be required to travel on company work as and when necessary. In case of travel on
company business, your deputation, or travel in connection with your transfer, you will be
entitled to such travel expenses/allowance as may apply to an employee in your position.
14. Your service and working conditions will be bound by the policies, rules, and orders
promulgated by the company from time to time about conduct, discipline, medical benefits,
retirement, and any other matters as though these rules, regulations, and orders were a part
of this contract of employment.

Additionally, by the position you occupy, you will be governed by the Company's policies, rules, and
regulations as applicable. Such policies, rules, and regulations may be subjected to alteration,
amendment from time to time shall become conditional upon you, and by which you shall abide.

Any variation of the above terms and conditions will not be valid unless expressly made in writing by
the Director - HR of the Company.
