Shadow OS Terms of Service
Effective date: September 27, 2026.
Version: shadowos-terms-2026-09-27.
These Terms govern the Shadow OS mobile application, shadowos.io, and the features we provide through them (the “Services”). The Services are provided by Phoenix & Aura LLC (“Shadow OS,” “we,” “us”). These Terms form an agreement between you and us when you accept them through the Services.
For U.S. users, Section 14 provides for individual arbitration of certain disputes, a class-action waiver, and a 30-day right to opt out. Please read that section. Rights that applicable law does not allow you to waive remain in place throughout these Terms.
1. What Shadow OS provides
Shadow OS offers tools for recording choices, exploring perspectives through the Book of Changes, reflecting on outcomes, completing self-assessments, and reviewing patterns across your records. Available features and access levels are described in the Services and the offer you select.
The Services support personal reflection. They do not provide medical, mental-health, substance-use, legal, financial, or other licensed professional services. Symbolic guidance does not predict events or establish what another person thinks, intends, or will do. A report or assessment is not a clinical diagnosis, a measure of competence, or a complete description of a person.
Reports depend on the information available. Hypothetical answers describe your responses to those situations; they do not establish that those events occurred. Saved decisions and Look-backs are your reports of experiences, not independently verified facts. Limited or missing records can produce shorter or less specific readings. We do not promise particular outcomes, improvement, accuracy of predictions, or that any pattern will continue.
Consider the context and limitations before acting. You remain responsible for your decisions, actions and omissions, including decisions about relationships, work, spending, health and personal safety, and for seeking qualified advice where appropriate. Do not treat our content as an instruction, a verified fact about another person, or a substitute for your own judgment. We do not undertake to make a decision for you, monitor the consequences, or prevent a loss arising from it. Our responsibility, if any, is subject to Sections 11 and 12 and the rights that law does not allow you to waive.
Shadow OS is not an emergency service, and submitting a question or record does not request emergency assistance. Contact local emergency services if you need urgent help. Use of the Services does not create a doctor–patient, therapist–client, adviser–client, fiduciary or other professional relationship.
2. Eligibility and your account
You must be at least 13, and meet any higher minimum age that applies where you live. If you have not reached the legal age of majority, you may use the Services only with the permission and supervision of a parent or legal guardian who agrees to these Terms. Purchases require the authorization of the payment-account holder and any consent required by law. Features may have additional age restrictions stated before use.
Use accurate account information and protect your sign-in credentials. Do not impersonate another person or use an account without authorization. Tell us promptly if you believe your account has been compromised. You are responsible for your authorized use of your account; this does not transfer our own security responsibilities to you.
Where supported, App and website features use the same Shadow OS account. Access to a particular record depends on its account association and the availability of that feature on the platform you are using. Different sign-in methods do not necessarily identify the same account. Device-only drafts and records may require a separate save or import step.
3. Assessments, generated content, and AI
We use a combination of authored material, software rules, and third-party AI services. General Assessment types and fixed introductions are assigned or selected using our assessment rules and your answers, including any confirmation you provide. New General Assessment reports select prepared text using fixed rules; they do not use an AI provider to write personalized explanations. Previously saved reports may contain AI-generated explanations. Other AI features may classify questions or records, or help compose readings from relevant saved information.
AI content can contain errors, invented statements, omissions, bias or material you consider inappropriate, or express an interpretation you disagree with. Review it critically and independently verify information that matters to a decision. Similar inputs may produce similar output, and generated wording may differ between requests. Automated checks reduce some errors but do not guarantee factual correctness or validate a psychological conclusion. A confident tone, specific wording, match label or personalized format does not establish accuracy, expertise or a warranty. We do not promise to identify or correct every error or update a historical report whenever information or software changes.
The Privacy Policy and applicable feature notice explain what information is processed and by whom. Agreement to these Terms does not replace separate permission required for particular data processing. Do not submit confidential information you are not authorized to share. Optional questions can be skipped where the feature offers that choice.
4. Your content and our permission to process it
You retain any ownership rights you have in the questions, records, answers, comments, and other material you submit (“Your Content”). You give us a nonexclusive, worldwide, royalty-free license to store, reproduce, organize, format, analyze, and display Your Content only as reasonably needed to provide, secure, maintain, and support the Services you use, and to carry out sharing you request. We may permit service providers to perform those tasks for us under appropriate restrictions. The Privacy Policy limits our handling of personal information.
This license does not give us permission to publish private records for advertising or to sell them. Following deletion, the license continues only as needed for retention permitted by the Privacy Policy and applicable law, or for copies you have already chosen to share that we cannot retrieve.
You must have the rights and permissions needed to submit Your Content. Avoid including another person's sensitive information without an appropriate basis. We may restrict material that infringes rights, violates these Terms, or creates a security or legal risk.
Suggestions about the product may be used to improve it without payment or attribution. This permission applies to product suggestions, not to the private personal records included in a support conversation.
5. Friends Mirror and sharing
Friends Mirror lets an account holder invite another person to provide observations associated with an assessment report. The respondent's chosen name, answers, and comment are visible to the inviting report owner. They are personal observations, not verified identities, facts, diagnoses, or judgments endorsed by Shadow OS.
An invitation link is intended for the person you choose, but someone who receives a forwarded link may be able to use it. Share links carefully and close invitations you no longer want open. Closing a link prevents further use as described in the feature; it does not automatically erase feedback already submitted. The feature notice explains deletion and visibility.
Only ask us to send an invitation to someone you have an appropriate reason and permission to contact. Do not use invitations for spam, harassment, impersonation, or bulk solicitation. Providing an invitation address does not enroll the recipient in marketing.
When you export a share card, email a report, or share a link, check what it contains and who will receive it. Recipients may keep or forward copies outside Shadow OS. Deleting a record here cannot recall copies already delivered to other people or services.
6. Membership, subscriptions, and trials
Free access, Membership benefits, usage limits, prices, and supported platforms are described in the Services. The purchase screen identifies the plan, charge, billing period, renewal terms, and any trial or introductory offer before you buy. Monthly and annual plans generally provide the same stated Membership access for different billing periods; additional conditions must be disclosed in the offer.
Recurring subscriptions renew and are charged automatically unless you cancel before renewal under the purchase terms and the applicable store rules. The purchase screen and your store account show the amount and timing. Manage or cancel an Apple purchase through your Apple subscription settings; use the corresponding Google Play settings for a Google purchase. If we offer direct billing, its checkout will explain the cancellation route. Uninstalling the App or deleting a Shadow OS account does not itself cancel a store subscription.
Trials are available only where offered and to eligible accounts. The offer explains the duration, charge after the trial, and cancellation deadline. A subscription trial is separate from a sample report; a sample is illustrative and does not promise a free personalized report. Cancel before the applicable deadline if you do not want the trial to convert to a paid subscription.
Unless the offer or applicable law provides otherwise, cancellation stops future renewals and access continues through the paid period. Refunds are handled under the purchase channel's rules and applicable law; contact the store for store-billed purchases or contact us for help identifying the appropriate route. These Terms do not exclude mandatory refund or withdrawal rights.
We may change future prices or offerings with the notice and consent required by applicable law and store rules. A change will not retroactively increase the price of a period already purchased. A material reduction in purchased access will be addressed through notice and any cancellation, refund, or other remedy required by the purchase agreement or law.
Membership does not transfer ownership of your records to us. Expiration of paid access does not by itself delete your account or personal records. Continued access to free features is subject to these Terms; retention and deletion are explained in the Privacy Policy.
7. Lifetime and Founding Membership
A Lifetime offer is a one-time purchase, with no recurring subscription charge, for the Membership access expressly included in that offer. For new purchases under these Terms, it applies while we continue to operate the Shadow OS membership service covered by the purchase. It is not a promise that the service, a particular feature, a third-party provider, or support for a device will exist forever. The offer must describe this scope before purchase.
Separately sold products are included only if the purchase offer says so. Founding Member recognition, numbering, or a Wall entry is included only where expressly offered; it does not give equity, voting rights, investment returns, or a transferable asset.
We will not retroactively narrow a prior Lifetime purchase through this definition. Its purchase terms and applicable consumer rights continue to apply. If we discontinue a paid service, we will provide reasonable advance notice where practicable and honor applicable purchase commitments and legally required remedies. This section does not authorize us to terminate paid access merely to avoid a Lifetime commitment.
8. License and acceptable use
We give you a limited, nonexclusive, nontransferable license to use the Services for personal, noncommercial purposes in accordance with these Terms and applicable store rules. You may use the sharing and export functions we provide for their intended purpose.
Our software, original question banks, authored text, illustrations, branding, and arrangement of the Services remain ours or our licensors'. This does not claim ownership of the public-domain Book of Changes or Your Content. No exclusive intellectual-property right in AI-generated material is promised where the law does not recognize one.
Do not unlawfully copy or resell our content; scrape or extract it in bulk; bypass payment, rate, security, or access controls; access another person's records; introduce malicious code; send unlawful or abusive content; or use the Services to make employment, credit, insurance, or other consequential eligibility decisions about another person. Reverse engineering is restricted except to the extent applicable law permits it. These restrictions do not prevent lawful accessibility tools, your use of provided exports, or authorized security testing.
9. Availability, changes, and suspension
We may maintain, improve, replace, or discontinue features, including where necessary for security, legal compliance, or changes in supporting services. We do not guarantee that every feature is available in every country, platform, or App version. We will respect purchased access and notice obligations under Sections 6 and 7.
We may restrict or suspend access for a material breach, fraud, security risk, unlawful use, or a legal requirement. We will give an explanation and a reasonable opportunity to address the issue where appropriate, unless doing so would create a risk or be prohibited. Contact support if you believe a restriction was mistaken. We may retain information needed to investigate the issue or meet legal obligations as explained in the Privacy Policy.
You may stop using the Services or request account deletion. Sections that by their purpose need to survive termination—including accrued payment obligations, content rights, permitted retention, and dispute provisions—continue to apply.
10. Third-party services and App stores
App stores, sign-in providers, AI providers, and other vendors support the Services. Their own services may have separate terms. We remain responsible for our obligations to you and do not use this section to disclaim duties that cannot be delegated.
For an App downloaded from Apple, this agreement is between you and Phoenix & Aura LLC, not Apple. Apple is not responsible for our App support or handling claims about the App, except for obligations Apple has under its own terms or law. If the App fails to meet an applicable warranty, you may notify Apple; any refund and Apple's remaining obligations are governed by applicable store terms and law. Phoenix & Aura LLC is responsible for addressing product, consumer-protection, and intellectual-property claims to the extent required by law. Apple and its subsidiaries may enforce the App-license provisions as third-party beneficiaries. Use must comply with Apple's applicable usage rules. You must comply with applicable export restrictions and may not use the Services where U.S. sanctions prohibit us from providing them.
11. Disclaimer of warranties and reliance
SUBJECT TO NONWAIVABLE RIGHTS AND EXPRESS PURCHASE COMMITMENTS, THE SERVICES, REPORTS, ASSESSMENTS, GUIDANCE AND OTHER CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” To the fullest extent permitted by applicable law, Phoenix & Aura LLC and its affiliates, officers, personnel, contractors, licensors and service providers disclaim warranties and conditions, whether express, implied or statutory, concerning merchantability, fitness for a particular purpose, title, noninfringement, and those arising through a course of dealing or trade usage.
In particular, we do not warrant that:
- guidance, assessments, inferred patterns, AI output or another user's feedback is accurate, complete, current, unbiased or appropriate for your circumstances;
- the Services will achieve a personal, relationship, financial, professional, health or other result;
- any assessment or reading establishes a scientific diagnosis, ability, identity, compatibility, intention or future event;
- the Services will always be available, timely, uninterrupted, secure, compatible with every device or free from errors, harmful code or data loss;
- every defect will be corrected, every record can be recovered, or every feature, vendor or content item will remain available indefinitely.
You choose whether to rely on content, communicate with another user or third party, or act on an interpretation. A personalized statement, notification, sample, illustration, customer-support explanation or marketing description does not create an additional warranty unless it is an express commitment that forms part of your purchase or one the law requires us to honor. We are not responsible for another user's independent conduct or for copies of information that a recipient keeps or shares outside our control, except to the extent our own legally actionable conduct causes the loss.
This section does not disclaim a mandatory consumer guarantee, an express contractual obligation, or a duty that applicable law prevents us from excluding. Security limitations explain risk; they do not waive our legal duties to protect personal information.
12. Limits on liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SHADOW OS PARTIES IDENTIFIED IN SECTION 11 WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES. This includes loss of profits, revenue, business or opportunities, goodwill, anticipated savings, data or access to data, and costs of substitute services, to the extent those losses are indirect or otherwise excludable by law.
This exclusion applies to claims arising from access to, use of or inability to use the Services; reliance on a report, assessment, recommendation or other content; inaccurate, incomplete or unavailable AI output; interruption, error or delay; unauthorized access or alteration; another user's acts or statements; or the failure of a third-party service. It applies whether a claim is framed in contract, tort including negligence, warranty, statute or another theory, even if the possibility of the loss was disclosed and even if a limited remedy fails to achieve its essential purpose, insofar as applicable law allows.
FOR ALL CLAIMS THAT MAY LAWFULLY BE LIMITED, THE SHADOW OS PARTIES' COMBINED TOTAL LIABILITY ARISING FROM THE SAME OR RELATED EVENTS WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNTS YOU PAID FOR SHADOW OS SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Payments through an App store count toward this amount. Multiple defendants or claims based on the same or related events do not multiply this cap. This cap applies to direct damages as well as any other damages that remain recoverable and lawfully subject to limitation.
These exclusions and limits do not apply to liability for fraud or intentional misconduct, or to gross negligence, death or personal injury, statutory remedies or other liabilities to the extent applicable law prohibits their exclusion or limitation. They do not reduce an agreed refund or other express payment obligation. A claim not lawfully limited remains governed by the applicable law; the existence of such a claim does not enlarge the liability limit for unrelated claims that may be limited.
13. Indemnification for third-party claims
To the fullest extent permitted by applicable law, you will defend, indemnify and hold harmless the Shadow OS parties identified in Section 11 from third-party claims, liabilities, damages, reasonable legal fees and expenses arising from: (a) content you submit or share that infringes intellectual-property, privacy or other rights; (b) your unlawful, fraudulent or abusive use of the Services; (c) your material breach of these Terms; or (d) an invitation, disclosure or commercial use you make without the required authority or permission.
This obligation applies only to the extent the claim is attributable to your conduct. It does not require you to compensate us for our own breach, negligence or misconduct, or for a claim that applicable consumer law prevents us from shifting to you. We will give you reasonably prompt notice of a covered claim and reasonable cooperation at your expense. We may participate through our own counsel at our own cost, or take over the defense where reasonably necessary to protect our interests without increasing your lawful obligations. You may not settle a claim in a way that admits wrongdoing, imposes an obligation or fails to release a protected party without that party's consent, which will not be unreasonably withheld.
14. U.S. dispute resolution and arbitration
This section applies only if you reside in the United States. Either party may first contact the other with a description of the dispute and the requested resolution. We encourage a good-faith effort to resolve it for 30 days; doing so is not a barrier to timely filing, emergency relief, or contacting a regulator.
Unless you opt out as described below, you and Phoenix & Aura LLC agree to resolve disputes arising from these Terms or the Services through binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs the arbitration agreement. Rules, forms, and fee information are available at https://www.adr.org/rules-forms-and-fees/consumer/.
Either party may bring an eligible individual claim in small-claims court. You may complain to public authorities. Claims or remedies that cannot lawfully be required to proceed in individual arbitration remain outside this agreement, including public injunctive relief where applicable law protects it. A court decides disputes about formation or enforceability of this arbitration agreement; the arbitrator decides the merits of claims properly submitted to arbitration.
Proceedings may take place remotely or in a location reasonably convenient to you under the applicable rules. Fees and cost allocation follow those rules and applicable law; we will pay fees the rules require the business to pay. The arbitrator may award the individual relief available under applicable law and must provide a written decision. If AAA cannot administer a dispute because we have not complied with its consumer requirements, you may bring the dispute in a court with jurisdiction rather than accept a substitute provider imposed by us.
You and we waive a jury trial for claims validly subject to arbitration and agree to pursue those claims individually, not as a class or representative action. This waiver applies only where enforceable. If the individual-action requirement is unenforceable for a particular claim or remedy, that claim or remedy proceeds in court and the rest remains subject to arbitration where legally permitted.
You may opt out of this arbitration agreement by emailing support@shadowos.io within 30 days after first accepting this version. State that you opt out of arbitration and include enough information to identify your account, if any. No reason is required, and opting out does not affect access to the Services. An earlier valid opt-out remains effective. This version does not retroactively impose arbitration on a dispute already raised before acceptance. We will provide specific notice of material changes to this section and obtain assent where required; we will not treat a silent website edit as acceptance of a new arbitration obligation.
15. Governing law and international rights
Subject to the protections below, Texas law governs these Terms, without its conflict-of-law rules. The Federal Arbitration Act governs Section 14. Disputes not validly subject to arbitration may be brought in a court with competent jurisdiction. Nothing here requires a non-U.S. consumer to use U.S. arbitration or waive mandatory local consumer protections.
If you live outside the United States, any mandatory consumer rights and access to local courts provided by the law applicable to you remain available. This includes rights concerning digital services, unfair contract terms, cancellation, and remedies where those rights apply. We do not shorten statutory claim periods through these Terms.
16. Changes, contact, and other terms
We will publish revised Terms with their effective date and provide notice of material changes through an appropriate channel. Where a change requires your agreement, we will request it. New terms do not silently authorize new uses of previously collected sensitive data. The Privacy Policy and any required consent govern that processing.
If part of these Terms is unenforceable, the remainder continues where lawful, subject to Section 14's specific rules. Failure to enforce a provision once does not waive it. You may not transfer your account or rights without our agreement, except where law permits; we may transfer this agreement as part of a lawful reorganization or business transfer that preserves your rights. These Terms and the applicable purchase offer comprise the agreement about the Services, without excluding representations or rights that law requires us to honor.
